Board Meeting Minutes

Monday, August 5, 2024, 6:00 p.m.

Geyserville Oriental Hall

Call to Order: 6:02 PM, John, Paul, Anna, Stacey, on Zoom Connection Martin, Kyle, Lisa

Approval of Agenda: Anna 1st, Stacey 2nd, All in Favor

Reports

Treasurer – Paul, GCF received a $7500 donation from The Stanley S. Langendorf Foundation, this came from the efforts of John presenting at the Vineyard Club.

Anna motioned, Paul 2nd, ,All in Favor, for an updated distribution of funds including the $7500.00. The Geyserville Pastoral fund will receive $5000.00, The Geyserville Boys & Girls Club will receive $5000.00, The Redwood Empire Food Bank will receive $5250.00, & The La Familia Sana will receive $5250.00. Prior checks have not been distributed, this will be the current, correct amount to distribute.

Sculpture Garden – Kyle , We do not own any of the art except for “The Horse”. If art is vandalized, we do not have any insurance coverage for any other artists or the “Horse”. Art Terano is not requiring us to have property insurance on “The Hand”. The Sculpture Garden Trails, is looking at re-painting the downtown mural. There has been an anonymous donor willing to contribute, the actual amount still needs to be verified, Art Torano offered at one time to donate to the re-painting of the mural as well. Kyle has been in the process of getting estimates. One estimate came at around $47,000.00. It was brought up, but not asked yet, would the GCF be willing to donate $5000.00 to the mural project? There are concerns of it being private property and if the owner didn’t like it or sold the property it can be repainted. And if a building ever goes up next to it, it would no longer be visible.

GAC/MAC- California America Water is doing survey work in Geyserville. Gretchen Crebs was hoping to get in touch with them to get a copy of the survey.

New signage for tourism was proposed, so it will all match in town.

Old Business

Status of the Corner Lot and the Agraria Sculpture- John We do not have any new information. They have not called John back since the article in the newspaper, about it being removed from that area in Santa Rosa. We do not know if it is still coming to Geyseville, there may be conflicts on who can actually gift it to GFC.

Year-end Appeal and fund distribution – John wants to talk to The Vineyard Club to see if we could submit a reporting of how we use the funds and where the funds we receive are distributed. They send out a newsletter four times a year, and it would be great to be included in their newsletter somehow.

New Business

Discussion of the Odd Fellow Hall presentation and next steps, the representatives of the Odd Fellows met with the Grand Lodge, we do not have any new information on the tittle. That is the first step to this project, we are waiting until that is complete to proceed further.

Martin brought up that if the GCF is involved we need to hire someone to help guide and to assist in the project. What would be our individual roles in this and what is expected of us individually as well as the board. How much commitment from each person are they expected to give to the project.

Fall Colors is approaching, is the board interested in having a table at the event.

Section 6. Duties of Directors

(1) The Board of Directors shall provide leadership, motivation, vision, and direction to the GCF. It shall define and prepare policies and procedures that contribute to the effective administration of the GCF.

(2) The Board of Directors shall approve the Annual Budget, the expenditure and investment of all funds of the GCF, and provide all necessary oversight for the financial security of the Foundation and all of its various program and funded projects.

(3) The Board of Directors shall review the GCF’s Strategic Objectives annually and from that review define a set of projects to be supported during the coming year.

(4) Individual members of the Board of Directors may propose additional projects throughout the year or at special meetings convened by the President as outlined in Section 3.

(5) Members of the Board should set an example by fully supporting the various fundraising goals and events to the best of their ability. This includes identifying prospects and helping to raise funds through events and programs as well as making personal philanthropic contributions as appropriate.

(6) Members of the Board of Directors should be advocates and ambassadors for the GCF and its funded projects.

(7) Members should be willing to serve a minimum of one term as an officer of the Board of Directors.
